     A description of the Class A common stock, par value $0.01 per share (the “Class A Common Stock”), of Clear Channel Outdoor Holdings, Inc., a Delaware corporation (the “Registrant”), is set forth under the caption “Description of Capital Stock” in the Registrant’s registration statement on Form S-1 (Registration No. 333-127375), initially filed with the Securities and Exchange Commission on August 10, 2005, as amended, including any form of prospectus contained therein filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended (the “Securities Act”), which description is incorporated herein by reference.
